Energy Transfer, Sunoco Move Legal Home to Texas
Energy Transfer, Sunoco, SunocoCorp and USA Compression Partners will change their state of formation from Delaware to Texas, with the legal transition taking effect July 6 and market recognition beginning July 13.
(P&GJ) — Energy Transfer LP, Sunoco LP, SunocoCorp LLC and USA Compression Partners LP will change their state of formation from Delaware to Texas, with the redomiciliation becoming legally effective July 6.
The companies said the move will take effect in Delaware and Texas at 12:01 a.m. CDT on July 6, while the New York Stock Exchange will recognize the change for trading purposes beginning July 13.
The companies said the transition will not affect their NYSE ticker symbols or CUSIP numbers, and existing economic and governance rights for unitholders will remain unchanged.
No operational changes were announced as part of the move.
Energy Transfer operates one of the nation's largest midstream systems, with approximately 140,000 miles of pipelines and related energy infrastructure spanning 44 states. Its assets include natural gas gathering, transportation and storage systems, as well as crude oil, natural gas liquids and refined products pipelines and terminals.
Energy Transfer also owns controlling interests in Sunoco and USA Compression Partners.
The companies did not disclose a reason for relocating their state of formation but said the change is limited to their legal domicile and will not affect ownership rights or market trading.
