
XPLR Completes $1.1 Billion Sale of Pennsylvania Gas Pipeline Assets to Ares Affiliate
XPLR Infrastructure has completed the $1.1 billion sale of its Pennsylvania gas pipeline assets (Meade and Redwood Meade) to Ares affiliates, as detailed in its Sept. 22 Form 8-K.
(P&GJ) — On Sept. 22, XPLR Infrastructure, LP finalized the sale of its holdings in Meade Pipeline Co., LLC and Redwood Meade Midstream MPC, LLC to affiliates of Ares Management LLC, the company said in a Form 8-K filing.
The transaction, first announced on August 7, 2025, transfers interests in Pennsylvania natural gas pipeline assets.
Under the deal, Meade Pipeline and a 15% interest held via Redwood Meade were sold by XPLR’s indirect subsidiaries for a cash consideration of approximately $1.1 billion. The buyers are APC Holdings II, L.P. and ACI Meade Member, LLC, both controlled by or linked to Ares.
XPLR also filed pro forma financial statements showing how the sale would affect its consolidated income and balance sheets, incorporated by reference as Exhibit 99.1 in the 8-K.
